By creating an account, subscribing, or using the Pro app, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.
1. Who these Terms cover
These Terms apply to the business or individual that subscribes to the Pro app (the "Customer," "you," or "your") and to every person who logs in under that subscription ("Users").
The Service is offered for use in the United States only at this time. We may refuse or cancel accounts outside the United States.
You must be at least 18 years old and able to form a binding contract to use the Service.
2. The Service
Drywall 101 Pro is software that helps construction companies with estimating, job-related tools, and related workflow features. The Pro app is a tool only. You remain solely responsible for your estimates, bids, job decisions, materials, labor, safety, code compliance, and all work you perform for your clients. We do not guarantee that any estimate, calculation, or output will be accurate, complete, or suitable for any particular job.
We may update, improve, or change features of the Service from time to time. We will try not to remove core paid functionality without notice, but we do not promise that any specific feature will remain available forever.
3. Accounts and User seats
3.1 Account responsibility
You are responsible for:
- Keeping login credentials secure
- All activity that occurs under your account and User logins
- Making sure each User complies with these Terms
Notify us promptly at techsupport@drywall101.com if you suspect unauthorized access.
3.2 One login = one User seat
Every login counts as a User. Sharing a single login among multiple people is not allowed. Each person who needs to sign in must have their own User seat within your plan limits.
Free read-only share links do not count as Users.
3.3 Acceptable use
You and your Users may not:
- Share login credentials or allow more people to use the Service than your paid seats allow
- Attempt to access another customer's data or accounts
- Reverse engineer, scrape, or interfere with the Service
- Use the Service for unlawful purposes, spam, or to distribute malware
- Misrepresent your identity or affiliation
- Circumvent plan limits, billing, or security controls
We may suspend or terminate access for violations of this section.
4. Plans, pricing, and billing
All fees are in U.S. dollars and are exclusive of applicable tax. Stripe Tax calculates the tax due at checkout and on renewals. Billing is handled through Stripe.
There is no free tier and no free trial.
4.1 Plan Duration
Plans are offered as either monthly or annual subscriptions. Annual plans include the same User inclusions and caps as the matching monthly plan. Annual plans may be offered at a discounted rate. Both monthly and annual subscriptions will renew automatically at the end of their term unless cancelled according to our cancellation policy as outlined in section 5.
4.2 Pricing and tax
Fees are listed on our pricing page at the time of purchase. We will provide at least 30 days’ notice of price changes for existing customers. Prices listed on our pricing page exclude applicable taxes which are calculated at checkout based on your location.
4.3 Extra Users
Extra users may be added to some plans according to plan specific limits. You are billed the monthly or annual price as listed on our pricing page at the time each user is added. The following general rules apply to adding or removing Extra Users mid-term.
- Adding an Extra User: you are charged a prorated amount for the remainder of the current billing period.
- Removing an Extra User: the change takes effect at the next renewal. There is no partial refund for the removed User for the current period.
4.4 Founding offer
For the first 50 companies, a promo code entered at checkout provides 30% off for the life of the subscription, applied to all Drywall 101 Pro subscription charges for that company, including the plan tier and any Extra Users. The founding discount belongs only to the company account whose checkout used the code. It can't be transferred to or shared with any other company account, including another company owned or created by the same person; each company must use the code at its own checkout while founding spots remain.
Founding members keep their original plan and Extra User prices, with the 30% discount, for as long as the subscription remains continuously active, even if our listed prices increase. Changing to a different plan tier applies the 30% discount to that tier's then-current price.
If the subscription is canceled, ends for non-payment, or the company account is deleted, the founding rate is permanently lost for that company. Restoring the account or subscribing again does not bring it back; the regular then-current price applies.
4.5 Plan changes and proration
You may upgrade, downgrade, or change billing interval (monthly/annual) subject to plan availability and User caps. When you change plans mid-cycle, Stripe may prorate charges or credits according to your new plan and remaining time in the period. Downgrades that would put you over the new plan's User cap require reducing Users first.
4.6 Payment failures
If a payment fails, Stripe will retry the charge for about 2–3 weeks. If payment is still unsuccessful, the subscription is canceled. Your account becomes read-only for the account owner so you can update billing and restore service at the regular then-current price (the founding rate does not return; see section 4.4). Other users cannot access the app while it is in read-only mode. We don't delete your data when a payment fails; see our data retention terms for what happens after cancellation. You are responsible for keeping a valid payment method on file.
4.7 Refunds
Refunds are governed by our Refund Policy. By using the Service, you acknowledge that policy.
5. Cancellation
You may cancel anytime in the Pro app billing settings or by contacting techsupport@drywall101.com.
Cancellation takes effect at the end of the current paid period. You keep access until then. Founding-rate discounts are lost on cancellation and do not transfer to a later subscription.
We do not provide partial refunds for unused time on monthly plans, or on annual plans after the applicable refund window (see Refund Policy).
6. Intellectual property and your data
6.1 Our software
JD Northern LLC owns the Pro app, including software, design, trademarks, and related intellectual property. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during an active paid subscription, solely for your internal business purposes. You may not copy, modify, resell, or create derivative works from the Service except as we expressly allow.
6.2 Your data
You own the content and data you submit to the Pro app (for example, job information, estimates you create, and customer details you enter) ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and support the Service.
You represent that you have the rights needed to upload Customer Data and that doing so does not violate law or third-party rights.
7. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Service, you acknowledge that policy.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that outputs (including estimates) will meet your requirements.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- JD Northern LLC and its owner, officers, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility.
- Our total liability for any claim arising out of or related to the Service or these Terms will not exceed the amounts you paid us for the Service in the twelve (12) months before the claim.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
10. Indemnification
You agree to defend and indemnify JD Northern LLC against claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Data, your estimates or work for clients, or your violation of these Terms or applicable law.
11. Suspension and termination
We may suspend or terminate your access immediately if you violate these Terms, fail to pay, misuse the Service, or if we must do so for legal or security reasons. We may also discontinue the Service with reasonable notice when practicable.
Upon termination, your right to use the Service ends. We may delete or disable access to Customer Data after a reasonable period, subject to our Privacy Policy and any legal retention duties. Export your data before canceling if you need a copy.
12. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms and update the effective date (and may notify you by email or in-app notice for material changes). Continued use after the effective date of changes constitutes acceptance. If you do not agree, cancel before the new Terms apply.
13. Governing law and disputes
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules. Subject to any rights you may have under applicable consumer law, courts located in South Carolina will have exclusive jurisdiction over disputes arising from these Terms or the Service.
14. General
- Entire agreement. These Terms, plus the Privacy Policy and Refund Policy, are the entire agreement between you and us about the Service.
- Severability. If a provision is unenforceable, the rest remains in effect.
- No waiver. Failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, sale, or reorganization.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
